1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Mango ("Company," "we," "our," or "us"), governing your access to and use of the Mango construction materials procurement and trade credit platform accessible at mangxo.org and through the Mango mobile application (collectively, the "Platform").

By creating an account, accessing the Platform, placing an order, or applying for trade credit, you agree to be bound by these Terms and our Privacy Policy. If you are using the Platform on behalf of a business entity, you represent that you have authority to bind that entity to these Terms, and references to "you" include that entity.

If you do not agree to these Terms, do not create an account or use the Platform. We reserve the right to modify these Terms at any time. Material changes will be communicated via email to your registered address with at least 30 days' notice. Continued use of the Platform after the effective date of changes constitutes acceptance of the revised Terms.

2. Eligibility and Account Registration

To use the Platform, you must be at least 18 years of age and have legal authority to enter into contracts in Mexico. Users registering on behalf of a business must be an authorized representative of that business. We reserve the right to verify eligibility at any time and to suspend or terminate accounts that do not meet eligibility requirements.

When creating an account, you must provide accurate, current, and complete information. For business accounts, this includes your RFC (Registro Federal de Contribuyentes), business name as registered with SAT, and a valid CFDI-capable email address. Providing false or misleading information is grounds for immediate account termination and may result in liability for damages caused by the misrepresentation.

You are responsible for maintaining the confidentiality of your account credentials. You agree to notify Mango immediately at contact@mangxo.org if you become aware of any unauthorized access to your account. You are liable for all activity conducted through your account, including orders placed by authorized users you have added to your account.

Mango may require additional verification for trade credit applications, large orders, or account activities that trigger our fraud detection systems. Failure to provide requested verification documentation within the specified timeframe may result in order cancellation or trade credit suspension.

3. Platform Services

The Mango Platform provides the following core services:

Materials procurement marketplace: A digital marketplace connecting contractors and construction companies with verified suppliers of construction materials. Mango facilitates the order process, coordinates logistics, and manages invoicing, but the contractual relationship for the underlying supply of materials is between you and the supplier.

Trade credit facility: Subject to credit approval, Mango offers net-term financing (30, 60, and 90-day terms) on materials orders. Trade credit is provided directly by Mango or through its financial partners. Credit terms are specified in the Mango Trade Credit Agreement, which forms part of these Terms for credit-approved accounts.

Logistics coordination: Mango coordinates delivery of orders from supplier warehouse to your project site. Delivery windows are confirmed at order placement. Delivery time commitments are based on standard operating conditions in Mexico City metropolitan area and may vary for deliveries to other locations.

Project cost management tools: The Platform provides order history, cost categorization by project and trade, CSV export, and REST API access for integrating order data with external accounting systems. API access terms are described in Section 9.

Supplier verification: Mango audits suppliers on the Platform for RFC compliance, quality certification, and delivery track record. Supplier verification reduces but does not eliminate supply quality risk. Mango's liability for supplier performance is limited as described in Section 11.

4. Order Terms and Conditions

Orders placed through the Platform constitute a binding purchase commitment once confirmed. Order confirmation is sent to your registered email address and is also accessible in your account dashboard. Review order details carefully before confirming, as confirmed orders are binding subject to the cancellation terms below.

Order cancellation: Orders may be cancelled without charge if cancelled at least 24 hours before the confirmed delivery window. Orders cancelled within 24 hours of the delivery window may be subject to a cancellation fee of up to 5% of the order value to cover logistics costs already incurred. Orders for custom-cut or specially-prepared materials may not be cancellable once preparation has begun.

Delivery acceptance: You are responsible for verifying the quantity, specification, and condition of all materials at the time of delivery before signing the delivery receipt. Signing the delivery receipt without noting discrepancies constitutes acceptance of the delivered materials as conforming to the order specification. Delivery discrepancies must be noted on the delivery receipt at the time of delivery or reported to Mango within 24 hours of delivery at contact@mangxo.org.

Delivery failures: If delivery fails due to site access issues (including site not ready to receive materials, access road inadequate for delivery vehicles, or authorized personnel not present to accept delivery), Mango will notify you immediately. Rescheduling of a failed delivery due to site access issues is subject to a rescheduling fee that reflects logistics costs for the failed attempt. Delivery failures due to Mango or supplier logistics errors are rescheduled without charge.

Product specifications: Construction materials are ordered by specification including grade, dimension, and applicable standard (e.g., NMX-B-294 for rebar, NMX-C-407 for cement blocks). You are responsible for ensuring that ordered specifications match the requirements of your structural drawings and applicable construction standards. Mango is not responsible for materials ordered to an incorrect specification that conforms to the order as placed.

5. Trade Credit Terms

Trade credit through Mango is available to approved accounts and is subject to the Mango Trade Credit Agreement. The following terms apply to all trade credit transactions:

Credit application: Applying for trade credit requires consent to a credit bureau inquiry with the Buró de Crédito. Credit decisions are based on project data, payment history, and credit bureau information. Mango provides credit decisions for complete applications within 4 to 6 hours during business hours (Monday to Friday, 8:00 AM to 6:00 PM Mexico City time).

Credit lines: Approved credit lines range from MXN 50,000 to MXN 5,000,000. Credit limits are determined by Mango at its sole discretion based on project scope, creditworthiness assessment, and payment history. Credit limits may be adjusted upward or downward based on payment performance.

Payment terms: Net-30, net-60, and net-90 terms are available. The applicable term for each order is selected at checkout and confirmed in the order confirmation. Payment is due in full on or before the due date specified in the invoice. The due date is calculated from the date of delivery, not the date of order placement.

Late payment: Invoices not paid by the due date are subject to a late payment fee of 2% per month (24% per annum) on the outstanding balance. This rate is consistent with rates permitted under Mexican commercial law for trade credit facilities. Late payment is also reported to the Buró de Crédito and may affect your credit score and future credit limit with Mango.

Payment methods: Trade credit invoices may be paid by SPEI bank transfer to the Mango account detailed on the invoice, by OXXO cash reference for amounts up to MXN 10,000, or by debit or credit card within the Platform (card payment incurs a processing fee of 2.5%). SPEI is the preferred payment method for invoices above MXN 10,000.

Credit suspension: Mango reserves the right to suspend trade credit availability, reduce credit limits, or require prepayment if: (a) an invoice remains unpaid 10 days past its due date; (b) there is a material adverse change in your business circumstances; (c) information provided in the credit application is found to be materially inaccurate; or (d) your account shows patterns consistent with fraud or misuse.

Project-specific credit: Trade credit is evaluated on a per-project basis. Your credit line for one project does not automatically extend to a new project. Apply for trade credit for each new project, ideally during the planning phase before procurement begins.

6. Pricing and Payments

Material prices on the Platform reflect current supplier pricing and may change without advance notice for new orders. Confirmed order prices are locked at the time of order confirmation and are not subject to price adjustment after confirmation, except in cases of a documented typographical error.

Platform subscription fees (for Starter, Growth, and Scale plans) are charged monthly or annually as selected at plan enrollment. Subscription fees are non-refundable for the current billing period. Annual subscriptions include a discount as described on the Pricing page and are invoiced at the beginning of the annual term.

All prices are expressed in Mexican Pesos (MXN) and are exclusive of IVA (Impuesto al Valor Agregado) unless explicitly stated otherwise. IVA at the applicable rate (currently 16%) is added to all invoices as required by Mexican tax law. A CFDI-compliant invoice is generated for every transaction and is accessible in your account dashboard.

Disputed charges must be raised within 30 days of the invoice date by emailing contact@mangxo.org with the invoice number and a description of the dispute. Mango will investigate and respond within 10 business days. Undisputed portions of an invoice remain due on the original payment terms during the dispute resolution process.

7. Supplier Relationships and Liability

Mango acts as an intermediary and procurement facilitator. While Mango verifies suppliers and maintains quality standards for platform participation, the contractual relationship for the supply of construction materials is between you and the relevant supplier. Mango is not a party to the supply contract and is not responsible for supplier performance beyond what is stated in these Terms.

Mango's supplier verification covers RFC compliance, tax registration, quality certification for applicable material categories, and delivery performance track record. Verification is updated quarterly. Verification reduces risk but does not guarantee that a specific order will meet every quality specification. For high-specification or safety-critical materials, we recommend requesting mill certificates and quality documentation for each order.

Mango provides a dispute resolution service for orders placed through the Platform. If you have a claim against a supplier (defective materials, short delivery, specification mismatch), submit the claim through the Platform dispute system within 5 business days of delivery. Mango will mediate with the supplier on your behalf and, where a valid claim is established, coordinate replacement delivery or issue a credit to your account.

8. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. Prohibited uses include:

Placing orders for materials not intended for legitimate construction projects; providing false project information to obtain trade credit or favorable pricing; creating multiple accounts to circumvent credit limits or suspension decisions; attempting to access other users' accounts or data; using automated tools to scrape Platform content or data; placing orders and refusing delivery without legitimate grounds; using trade credit for purposes other than purchasing materials for the specified project; or any use that violates applicable Mexican law or regulation.

Mango monitors Platform activity for patterns consistent with prohibited use. Accounts found to be in violation of acceptable use standards are subject to immediate suspension, cancellation of pending orders, acceleration of outstanding credit obligations, and referral to law enforcement where appropriate.

9. API Access

The Mango REST API is available to Growth and Scale plan subscribers. API access allows you to retrieve order history, project cost data, and invoice documents programmatically. The following terms apply to API use:

API credentials are issued to a specific account and must not be shared with third parties or embedded in public-facing applications. Rate limits apply: 100 requests per minute for Growth plan and 500 requests per minute for Scale plan. Requests that exceed rate limits receive a 429 response and should be retried with exponential backoff.

The API is provided for integration with your internal accounting and project management systems. Using the API to build public applications, resell data, or create competitive services is prohibited without a separate API partnership agreement. Mango does not guarantee API availability or backward compatibility. Material API changes will be communicated with at least 60 days' notice via the developer documentation at mangxo.org/docs/api. Deprecated API endpoints will continue to function for at least 90 days after deprecation notice.

10. Intellectual Property

The Mango Platform, including its software, design, content, trademarks, and the "Mango" name and logo, is owned by Mango and protected by applicable intellectual property law. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for your business procurement and project management purposes in accordance with these Terms.

You do not acquire any ownership interest in the Platform by using it. You may not copy, modify, distribute, sell, or license any part of the Platform's software or design. You may export your own order data in CSV format for your internal use. Using Mango's branding without written permission is prohibited.

Content you submit to the Platform (including project details, specifications, and feedback) remains your property. By submitting it, you grant Mango a non-exclusive license to use that content to provide the Platform's services and to improve the Platform, including for training procurement recommendation features. We do not share your project details or order data with competing contractors.

11. Limitation of Liability

To the maximum extent permitted by applicable Mexican law, Mango's total aggregate liability for any claim arising out of or relating to these Terms or the Platform — whether in contract, tort, or otherwise — shall not exceed the greater of: (a) the total fees paid by you to Mango in the 3 months preceding the event giving rise to the claim; or (b) MXN 10,000.

Mango is not liable for: indirect, incidental, special, or consequential damages; lost profits or business opportunities; project delays caused by supplier delivery performance; construction defects arising from materials that conform to the ordered specification; or losses arising from your failure to verify material specifications against your construction drawings before ordering.

These limitations apply even if Mango has been advised of the possibility of such damages. Some jurisdictions do not allow exclusion of certain damages; in such jurisdictions, our liability is limited to the minimum extent permitted by law.

Nothing in these Terms limits liability for: fraud or fraudulent misrepresentation; death or personal injury caused by negligence; or any liability that cannot be excluded by law.

12. Termination

You may terminate your account at any time by contacting contact@mangxo.org. Account termination does not affect outstanding obligations: any open orders will be fulfilled and must be paid for, and outstanding credit balances remain due under their original payment terms.

Mango may terminate or suspend your account for: breach of these Terms; non-payment of outstanding invoices; fraud or material misrepresentation; or any use of the Platform that creates legal risk for Mango or harm to other users or suppliers. In cases of serious breach, termination may be immediate. In other cases, we will provide 30 days' written notice.

Upon termination, your right to access the Platform ends. You may request an export of your order history and invoice records within 60 days of account closure. After 60 days, account data is archived and accessible only upon written request and subject to our data retention policy.

13. Governing Law and Disputes

These Terms are governed by the laws of Mexico and the Federal District (Ciudad de México). You agree to submit to the exclusive jurisdiction of the courts of Mexico City for any dispute arising out of or relating to these Terms or the Platform. Before initiating any legal proceeding, you agree to notify Mango in writing of the dispute and allow 30 days for good-faith resolution discussion.

For disputes involving amounts below MXN 50,000, you may also submit the dispute to the PROFECO (Procuraduría Federal del Consumidor) conciliation service where applicable consumer protection law applies.

14. Miscellaneous

These Terms, together with the Privacy Policy and any executed Trade Credit Agreement, constitute the entire agreement between you and Mango regarding the Platform. They supersede any prior agreements, representations, or understandings regarding the subject matter.

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. Mango's failure to enforce any provision does not constitute a waiver of that provision. You may not assign your rights under these Terms without Mango's written consent. Mango may assign its rights in connection with a merger, acquisition, or sale of assets.

Notices to Mango should be sent to contact@mangxo.org. Notices to you will be sent to your registered account email address. Notices are effective upon delivery unless otherwise specified.
